By accessing or using this Website, you agree to be bound by these Terms of Use. If you do not agree to all of these Terms of Use, do not access or use the Website or Service.

1. Background and Definitions

  • 1.1  RegattaHost LLC (“RegattaHost,” “Company,” “we,” “us,” or “our”) is a Florida limited liability company with its principal place of business in Tampa, Hillsborough County, Florida. The Company operates the website located at regattahost.com (the “Website”) through which it offers an online event registration and management platform (the “Service”). The Service facilitates the creation and management of sailing regatta events, online registration, payment processing, results publication, and participant communication.
  • 1.2  “Members” or “Organizers” means individuals or organizations who register with the Service to create and manage events. “Users” means all individuals who access the Website or use any portion of the Service, regardless of whether they have registered as Members, including registrants to events organized using the Website. “You” and “your” refer to any User or Member.
  • 1.3  These Terms of Use, together with our Privacy Policy and any applicable Payment Processing Agreement, constitute the entire agreement between you andRegattaHost regarding your use of the Service (collectively, the “Agreement”).

2. Eligibility and Account Registration

  • 2.1  You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.
  • 2.2  To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • 2.3  You must promptly notify RegattaHost at support@regattahost.com of any unauthorized use of your account or any other breach of security.
  • 2.4  Organization accounts are subject to an approval process. RegattaHost reserves the right to approve, deny, or suspend any organization account at its sole discretion.

3. Acceptable Use

  • 3.1  You agree to use the Website and Service only for lawful purposes and in accordance with these Terms of Use.
  • 3.2  You shall not post or transmit through the Website any material that: (a) violates or infringes the rights of others; (b) is unlawful, threatening, abusive, harassing, defamatory, libelous, or invasive of privacy or publicity rights; (c) is vulgar, obscene, profane, or otherwise objectionable; (d) encourages conduct that would constitute a criminal offense or give rise to civil liability; (e) contains viruses, malware, or other harmful code; or (f) constitutes unauthorized advertising or spam.
  • 3.3  You shall not use the Service for sending unsolicited commercial email (“spam”). You represent and warrant that you have obtained explicit consent from all recipients of electronic communications generated through the Service, and you accept sole responsibility for all such communications.
  • 3.4  You shall not: (a) attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service; (b) use any automated means, including bots, crawlers, or scrapers, to access or collect data from the Service without prior written consent; (c) interfere with or disrupt the integrity or performance of the Service; or (d) attempt to reverse-engineer, decompile, or disassemble any portion of the Service.

4. Privacy and Data

  • 4.1  All information collected on or transmitted through the Website is subject to our Privacy Policy, which is incorporated into these Terms of Use by reference.
  • 4.2  Event data, including information collected from registrants, remains on our platform until you delete it or for one (1) year following the event's end date, whichever occurs first. After one year, you may receive notice that your event data will be deleted within thirty (30) days.
  • 4.3  Member account information is retained until the Member requests deletion by emailing support@regattahost.com or by canceling their account through the Member Dashboard.
  • 4.4  Organizers who collect personal information from event registrants through the Service are responsible for ensuring their own compliance with all applicable data protection and privacy laws.

5. Fees, Payments, and Refunds

  • 5.1  The fees for the Service are as set forth in the applicable Payment Processing Agreement and on the Website, the terms of which are incorporated herein by reference. RegattaHost reserves the right to modify its fee structure at any time upon thirty (30) days' prior notice to affected Members.
  • 5.2  Payment processing is provided through Stripe, Inc. (“Stripe”). By using the payment features of the Service, you agree to be bound by Stripe's applicable terms of service and connected account agreement.
  • 5.3  A person shall be deemed to have “registered” for an event upon completion and submission of the registration form. Once a person has registered for a paid event, refunds of RegattaHost platform fees are not available. Refunds of event registration fees are at the sole discretion of the event Organizer.
  • 5.4  Test registrations completed prior to an event being published are provided at no cost and are not subject to platform fees.

6. Service Availability and Modifications

  • 6.1  RegattaHost shall use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. The Service is provided on an “as available” basis.
  • 6.2  RegattaHost reserves the right, at its sole discretion, to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will use reasonable efforts to notify Members of material changes. RegattaHost shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
  • 6.3  We may perform scheduled maintenance from time to time and will endeavor to provide advance notice to Members via email.

7. Resale of Services

  • 7.1  You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purpose any portion of the Service, use of the Service, or access to the Service, without the express written consent of RegattaHost. For licensing inquiries, please contact us.

8. Intellectual Property

  • 8.1  The Service, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof), is owned by RegattaHost LLC, its licensors, or other providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
  • 8.2  You retain ownership of all content you submit through the Service. By submitting content, you grant RegattaHost a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.
  • 8.3  All trademarks, service marks, and trade names displayed on the Website are the property of their respective owners. Nothing in these Terms of Use grants you any right to use any trademark, service mark, or trade name of RegattaHost without prior written permission.

9. Copyright Infringement (DMCA)

  • 9.1  If you believe that content available through the Service infringes your copyright, please send a notice containing the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512) to support@regattahost.com.
  • 9.2  RegattaHost reserves the right to remove any content alleged to be infringing and to terminate the accounts of repeat infringers at its sole discretion.

10. Termination

  • 10.1  You may terminate your account at any time by canceling through your Member Dashboard or by contacting support@regattahost.com.
  • 10.2  RegattaHost may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms of Use. Upon termination, your right to use the Service will immediately cease.
  • 10.3  All provisions of these Terms of Use which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Indemnification

  • 11.1  You agree to indemnify, defend, and hold harmless RegattaHost LLC and its officers, directors, managers, members, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms of Use; (c) your violation of any law or the rights of any third party; (d) any content you submit, post, or transmit through the Service; or (e) your event and any activities, injuries, or damages related thereto.

12. Disclaimer of Warranties

  • 12.1  THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RegattaHost LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • 12.2  RegattaHost DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED. RegattaHost DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.
  • 12.3  The Website may contain links to third-party websites. RegattaHost does not own or control those websites and is not responsible for their content, privacy policies, or practices. Inclusion of any link does not imply endorsement by RegattaHost.

13. Limitation of Liability

  • 13.1  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RegattaHost LLC, ITS OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF RegattaHost HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • 13.2  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF RegattaHost LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO RegattaHost DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS ($100.00).
  • 13.3  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS SET FORTH ABOVE SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Dispute Resolution

  • 14.1  Informal Resolution. Before initiating any formal dispute proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Service (“Dispute”) informally by contacting RegattaHost at support@regattahost.com. The parties shall use good faith efforts to resolve any Dispute within thirty (30) days of the initial notice.
  • 14.2  Binding Arbitration. If a Dispute cannot be resolved informally, you andRegattaHost agree that the Dispute shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Hillsborough County, Florida. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • 14.3  Class Action Waiver. YOU AND RegattaHost AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
  • 14.4  Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court in Hillsborough County, Florida, provided the claim falls within that court's jurisdictional limits.

15. Governing Law and Jurisdiction

  • 15.1  These Terms of Use and any Dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
  • 15.2  For any Dispute not subject to arbitration, you and RegattaHost consent to the exclusive jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida. You hereby waive any objection to jurisdiction or venue in such courts.

16. Force Majeure

  • 16.1  RegattaHost shall not be liable for any failure or delay in performing its obligations under these Terms of Use where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, epidemic or pandemic, strikes, power outages, telecommunications failures, or internet service provider failures.

17. General Provisions

  • 17.1  Entire Agreement. These Terms of Use, together with the Privacy Policy and any applicable Payment Processing Agreement, constitute the entire agreement between you and RegattaHost regarding the Service and supersede all prior agreements and understandings.
  • 17.2  Severability. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
  • 17.3  Waiver. The failure of RegattaHost to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. No waiver shall be effective unless in writing and signed by RegattaHost.
  • 17.4  Assignment. You may not assign or transfer these Terms of Use or any rights or obligations hereunder without the prior written consent of RegattaHost. RegattaHost may assign these Terms of Use without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
  • 17.5  Statute of Limitations. You agree that any claim or cause of action arising out of or related to the Service or these Terms of Use must be filed within one (1) year after such claim or cause of action arose, or be permanently barred.
  • 17.6  Modifications to Terms. RegattaHost reserves the right to modify these Terms of Use at any time. Material changes will be communicated by posting the updated terms on the Website with a revised “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
  • 17.7  Electronic Communications. By using the Service, you consent to receive communications from RegattaHost electronically, including via email. You agree that all notices, disclosures, agreements, and other communications provided electronically satisfy any legal requirement that such communications be in writing, in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law.
  • 17.8  Notices. RegattaHost may send notices to Members via email to the address associated with their account. Such notices are deemed received when sent. You may send notices to RegattaHost at support@regattahost.com.
  • 17.9  Section Headings. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.
